Description

Export Sheet Data ("ESD", "service") is an add-on for Google Sheets that allows users ("Users", "you") to export data from sheets as JSON or XML. ESD is owned by Chris Ingerson and Sleepy Owl Software ("Sleepy Owl", "SOS", "we", "us", "our").

License

Your use of ESD constitutes a non-exclusive, non-transferable, revocable, limited license to access and use ESD pursuant to the Terms of Service listed herein. SOS reserves the right to terminate this license at any time for any reason. You understand and agree that the limited license to use the Services is provided on an AS IS and AS AVAILABLE basis. SOS disclaims all responsibility and liability for the availability, timeliness, security, or reliability of ESD. SOS also reserves the right to modify, suspend, or discontinue ESD and any related applications with or without notice at any time and without any liability to you.

Acceptance of Terms

SOS provides a limited license for you to use ESD subject to the following Terms of Use, which may be updated by SOS from time to time without notice to you. By accessing and using ESD, you accept and agree to be bound by the terms and provisions of these Terms of Service. If you do not accept and abide by these Terms of Service, you may not use ESD. Nothing in these Terms of Service shall be deemed to confer any third party rights or benefits.

Use

You agree that you are responsible for your own communications and for any consequences thereof. You agree that you will use ESD in compliance with all applicable local, state, national, and international laws, rules, and regulations, including any laws regarding the transmission of technical data exported from your country of residence. You shall not, shall not agree to, and shall not authorize or encourage any third party to: (i) use ESD to upload, transmit, or otherwise distribute any content that is unlawful, defamatory, harassing, abusive, fraudulent, obscene, contains viruses, or is otherwise objectionable as determined by SOS in its sole discretion; (ii) upload, transmit, or otherwise distribute content that infringes upon another party's intellectual property rights or other proprietary, contractual, or fiduciary rights or obligations; (iii) prevent others from using ESD; or (iv) use ESD for any fraudulent or inappropriate purpose. Violation of any of the foregoing may subject you to state and federal penalties and other legal consequences. SOS reserves the right, but shall have no obligation, to investigate your use of ESD to determine whether a violation of these Terms of Service has occurred or to comply with any applicable law, regulation, legal process, or governmental request.

Content

SOS takes no responsibility for third party content (including, without limitation, any viruses or other disabling features), nor does SOS have any obligation to monitor such third party content. SOS is not responsible or liable for the exercise or non-exercise of its rights under these Terms of Service. SOS agrees that it has no rights to the data, documents, information, or material that you create in the course of using ESD. You acknowledge and agree that you have sole responsibility for the accuracy, quality, integrity, legality, reliability, appropriateness, and intellectual property ownership or right to use all data exported, and you further agree that SOS shall not be responsible or liable for the deletion, correction, modification, destruction, damage, loss, or failure to store any of your data, whether submitted by you, shared with others, or received from third parties. You agree to indemnify and hold SOS harmless from any liability caused by your use and/or submission of data in violation of a third party's claim to, permitted use of, or copyright or other rights of ownership claimed with respect to such data.

  • SOS Intellectual Property Rights

    • You acknowledge that SOS owns all right, title, and interest in and to ESD and all content therein, including without limitation all intellectual property rights and associated applications, and that such rights are protected by United States and international intellectual property laws. ESD is an open source add-on, so any modification or redistribution of ESD’s source code is subject to the license specified on its code repository (github.com/Synthoid/ExportSheetData/blob/master/LICENSE).

  • Your Intellectual Property Rights

    • SOS does not claim any ownership in any of the content that you create or use while using ESD. Your data is YOUR data.

Privacy

As a condition to using ESD, you agree to the terms of the SOS’ Privacy Policy as it may be updated from time to time. You can review ESD’s privacy policy which can be found at https://github.com/Synthoid/ExportSheetData/blob/master/PRIVACYPOLICY.md.

Indemnification

You agree to hold harmless and indemnify SOS and its subsidiaries, affiliates, officers, agents, and employees from and against any third party claim arising from or in any way related to your use of ESD and related applications, including any liability or expense arising from all claims, losses, damages (actual and consequential), suits, judgments, litigation costs and/or attorneys' fees, of every kind and nature.
